Background:

Mr. Newcomb has over 30 years experience as an officer of private and publicly-held companies, including (i) raising capital, (ii) structuring of investments, technology licenses, joint ventures, restructurings, mergers and acquisitions, and (iii) SEC and financial reporting. He has managed the legal, accounting, treasury and risk management functions for start-up and early stage technology companies and was a senior officer of a publicly-held structured finance company which raised debt and equity (tax-advantaged) capital for all transactions through public and private syndications. Mr. Newcomb started his career as a member of the tax staff of Coopers & Lybrand (now PriceWaterhouseCoopers).

Mr. Newcomb is a dual citizen of the United States and Ireland.
